What is an electronic signature?

The digital equivalent of a handwritten signature — from an ‘I accept’ checkbox to a qualified signature with full legal force, in tiers of very different strength.

A contract that waits three days for a courier to bring it back signed is an anachronism with a legal remedy that has existed for years — but the phrase ‘electronic signature’ conceals a distinction many companies discover late: it is not one thing, it is three tiers of very different weight, defined across the EU by the eIDAS regulation. The simple electronic signature covers the click-to-accept box, the finger-drawn scrawl and platform approvals; valid for a great many everyday commercial dealings, yet weak in a dispute, because somebody still has to prove who actually pressed the button. The advanced signature is cryptographically bound to both signatory and document, so any later alteration becomes visible, with reasonable identification of the person behind it. The qualified signature sits at the top: created with a certified device and a certificate from an accredited trust service provider — in Romania, names such as certSIGN, DigiSign and Trans Sped, all listed in the national and European trust registers — and it is the only tier automatically equivalent to ink across the Union. It is also, practically speaking, the key to dealing with the Romanian state: filings to ANAF, the Romanian tax authority, through SPV, its online taxpayer portal, tenders on the public procurement platform, and official declarations. The rule that saves both money and risk is allocation written down in advance: qualified where law or stakes demand it, advanced or simple for the daily commercial flow.

Which documents genuinely require a qualified signature?

As a working rule: anything going to a Romanian public institution — tax filings, the taxpayer portal, public tender submissions — and employment paperwork signed electronically, where Romanian labour law demands the qualified or advanced tier for electronic employment contracts. Elsewhere in commercial life the lower tiers are frequently sufficient. The efficient move is having a lawyer validate one policy by document category, once, instead of improvising the question deal by deal.

How does a company obtain qualified signatures, and what do they cost?

Through an accredited trust service provider: identity verification either in person or by video call, issuance of the certificate, then a signing means — historically a USB token, increasingly a cloud certificate used from a browser or phone. Budget in the low hundreds of lei per person per year. For teams, the cloud variant combined with a signing platform removes the most common corporate bottleneck of all, which is the question of where the managing director’s token currently is.

Are signatures produced by platforms such as DocuSign legally valid?

Yes — at the tier they actually apply. By default such platforms produce simple or advanced signatures with strong supporting evidence: email or SMS identity checks, full audit trails and cryptographic document integrity, which carries most commercial relationships comfortably. The same platforms can apply qualified signatures when connected to qualified certificates. So the right question is never whether it is valid, but whether the tier fits the document — which an internal signing policy answers in advance.
